Refund Policy

1. General Policy

At OmniVertexSystems, we are committed to delivering high-quality web development, design, and consulting services. Due to the nature of our digital services, refunds are evaluated on a case-by-case basis in accordance with Spanish consumer protection regulations (Real Decreto-ley 7/2021) and EU Directive 2011/83/EU on consumer rights.

2. Service Deliverables

All services are billed according to the agreed project milestones outlined in the signed contract. If a milestone deliverable does not meet the specifications defined in the contract, you are entitled to request a revision at no additional cost within 14 days of delivery.

3. Cancellation and Partial Refund

  • Pre-Project Cancellation: If you cancel before work has commenced, a full refund of any advance payment will be issued within 10 business days.
  • Mid-Project Cancellation: If you cancel after work has commenced, you will be invoiced for all completed milestones and work-in-progress up to the date of cancellation. A partial refund for uncompleted work will be issued within 15 business days.
  • Post-Delivery: Once a deliverable has been approved and accepted, refunds are not available for that milestone. However, if the final product materially differs from the agreed specifications, you may request remediation under the contract terms.

Terms of Service

1. Acceptance of Terms

By accessing or using the services provided by OmniVertexSystems ("the Company"), located at Calle del Barco 15, Madrid, Centro, España, you ("the Client") agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Scope of Services

OmniVertexSystems provides web development, UI/UX design, cloud infrastructure, security auditing, and related digital consulting services. The specific scope, deliverables, timelines, and pricing for each engagement are defined in a separate written contract or statement of work signed by both parties.

3. Client Obligations

The Client agrees to:

  • Provide accurate and complete information necessary for the project
  • Respond to requests for feedback, approvals, and content within reasonable timeframes
  • Ensure they have the legal rights to any materials, trademarks, or content provided to OmniVertexSystems
  • Make payments according to the agreed schedule

4. Intellectual Property

Upon full payment of all outstanding invoices, the Client receives full ownership of all custom code, designs, and deliverables created specifically for the project. OmniVertexSystems retains ownership of:

  • Pre-existing frameworks, libraries, and tools used in development
  • General methodologies, techniques, and know-how developed during the engagement
  • The right to reference the project in portfolio and marketing materials (unless otherwise agreed)

5. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the business relationship. This includes trade secrets, business strategies, technical specifications, and client data. This obligation survives the termination of the agreement for a period of 3 years.

6. Limitation of Liability

OmniVertexSystems shall not be liable for indirect, incidental, consequential, or punitive damages arising from the use of our services. Our total liability under any agreement shall not exceed the total fees paid by the Client for the specific project giving rise to the claim.

7. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from causes beyond reasonable control, including but not limited to natural disasters, acts of government, pandemics, internet outages, or cyberattacks.

8. Termination

Either party may terminate the agreement with 30 days' written notice. In the event of termination, the Client shall pay for all work completed up to the date of termination. Sections regarding confidentiality, intellectual property, and limitation of liability shall survive termination.

9. Governing Law and Jurisdiction

These Terms of Service are governed by the laws of Spain and the European Union. Any disputes arising from or relating to these terms shall be subject to the exclusive jurisdiction of the courts of Madrid, España.

10. Changes to Terms

OmniVertexSystems reserves the right to update these Terms of Service at any material time. Clients will be notified of significant changes via email. Continued use of our services after notification constitutes acceptance of the updated terms.
